Recent Case Study: Commercial Landlord and Tenant - An Authorised Guarantee Agreement - 4th Oct 2010
Authorised Guarantee Agreements keep the original tenant on the hook in case a third party assignee defaults; they should be drafted with care.
As the final parts of the Companies Act 2006 are implemented, directors wishing to keep their home address private will be allowed to file an alternative address at Companies House.
For the purposes of the record at Companies House which is open to public inspection, from 1st October 2009 a director may provide any address (a service address) which may be the registered office address provided that the director can be contacted at this address. If a service address is being provided, the director must also provide a residential address to Companies House but this will be considered protected information.
The residential address if provided in addition to a service address must be kept confidential in a separate confidential register. The information may only be used or disclosed in certain circumstances:
In the event that communications sent to the service address are unanswered or evidence suggests sending communications to the service address will not be received by the director, the residential address may be made public subject to guidance to be followed by Companies House.
